Terms and Conditions- Community Leaders Program

OPEN ONLY TO THOSE WHO ARE: (a) AT LEAST AT THE AGE OF MAJORITY IN THEIR APPLICABLE JURISDICTION, AS OF THE DATE OF PARTICIPATION; and (b) WIX STUDIO USERS; OR (c) WIX STUDIO PARTNERS. NO PURCHASE OR PAYMENT NECESSARY OTHER THAN SUBSCRIPTION. A PURCHASE OR PAYMENT DOES NOT INCREASE YOUR CHANCES OF ENTERING THE PROGRAM.

1. Eligibility:

The Wix "Community Leaders Program" ("Program") is open only to those who are at least of at the age of majority in their applicable jurisdiction; and Wix Studio Users; or Wix Studio Partners. 

Wix Studio Users shall mean – any person who has an active subscription to Wix Studio, through the whole time of the Program 

Wix Studio Partner shall mean – part of Wix Partner program

The following individuals are not eligible: employees, contractors, directors and officers of Wix.com, ("Sponsor"), the Sponsor respective parent, subsidiaries and affiliated companies, The Sponsor’s employee’s household members and the immediate family members (spouse, parent, child, sibling, spouse, grandparent or "step" of each) and those living in their households.

2. Program Overview:

The Program is completely voluntary. If you wish to join the Program, you must submit a complete and accurate application through wix.com/studio/community/leaders/apply 

 

Sponsor or its representatives have and maintain the right, at all times and in their sole discretion, to determine that an Application contains inappropriate content, may infringe a third party's copyright, intellectual property right or right of privacy, is irrelevant to the Program or its goal, or is otherwise not in compliance with these Terms and to disqualify such Applicant from the Program. 

BE SURE TO CAREFULLY READ THESE OFFICIAL TERMS BEFORE SUBMITTING YOUR APPLICATION AS YOU WILL BE BOUND BY THEM.

3.  How to participate: 

In order to apply to the Leaders community program you will need to fill out the relevant application form, event and/or online leader, agree to Studio Community Code of conduct and program's terms and conditions.

 

Your Application (and if chosen as Community Leader then this shall apply to your behavior under this role as well) may not 

  • Contain, mention, refer or otherwise allude to any obscene, lewd, violent, illegal, offensive, disparaging or inappropriate words, abbreviations, language, signs, products, symbols, political, personal and/or religious references or statements, (including but not limited to words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation or socioeconomic group; 

  • Promote alcohol, illegal drugs or tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; 

  • Defame, misrepresent, contain disparaging remarks about Sponsor, its products or other people, products or companies or their products, or in any way reflect negatively upon such parties or communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to be associated with, as determined by the Sponsor in its sole discretion; 

  • Contain any personal identification, such as license plate numbers, e-mail addresses or street addresses, without permission;

  • Cannot contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in websites, television, movies or other media) without permission;

  • Cannot contain materials embodying the names, likenesses photographs, or other indicia identifying any person, living or dead, without permission; and 

  • Cannot depict, and cannot itself, be in violation of any law; or in any way reflect negatively upon the Sponsor as determined by the Sponsor in its sole discretion.

4. Judging:

Within twenty one (21) business days from the date you send the Application, the Sponsor will review Applications and determine if you are eligible to act as Community Leader.

The Applicant  will be notified of their application status by email (their entry email). 

NOTE: Applicant and its respective Application is subject to verification, including without limitation, verification of eligibility, compliance with these Official Terms and completion and return of all required documents. Applicants agree that the Sponsor has the sole right to decide all matters and disputes arising from this Program and that all decisions of Sponsor are final and binding.

5. Becoming a Community Leader

The chosen Applicant will become a Wix Community Leader and will receive the following:

  • We may advertise and spotlight your activities and events.

  • You will receive resources (where appropriate), promotional materials, and swag to support your activities. 

  • We will support your activities and events, but it is your responsibility to ensure they function correctly and legally.

  • You may use the Wix Studio brand for your events, only subject to our brand guidelines.

  • You can only use the Wix Studio Community Leader title during your tenure. If you’re no longer holding this title, you must remove it or use ‘Ex-Wix Studio Community Leader’.

 

Becoming a Community Leader also requires from you the following:

  • You must be invested in and have a passion for community. 

  • You adhere to and follow the Wix Studio community code of conduct.

  • You are able to volunteer and dedicate your time to carry out the responsibilities necessary.

  • You should have the right, authority and capacity to be able to abide by our legal requirements.

  • You are approachable yet uphold a professional manner at all times, while engaging the Wix Studio brand.

 

As a Community Leader you will:

  • Play a crucial role in facilitating and bringing people together within the community in an informal and personal way.

  • Engage, interact, share knowledge, guide and inspire others through various offline and online channels.

  • Be responsible for your own actions and what you say online and offline. Do not promote false or misleading information.

  • Be aware that content shared within the community under which you are acting as a Community Leader, will automatically allow Wix and other community members or leaders, to use such content. 

 

Community events Leader guidelines

  • For personal safety reasons, do not host events at private residences. 

  • Commercial promotions are allowed only if they add value to the community and align with Activities and Wix Studio. Consult your Community Manager if you’re unsure.

  • Third party sponsorship is only allowed subject to your Community Manager’s approval.

  • Do not express or imply that we endorse any statements you make without our specific prior written consent.

  • You cannot have a hidden agenda, your focus is on contributing to the Wix Studio community.

  • Do not engage with competing entities as an employee, partner, consultant or provide services, while acting as a Wix Studio Community Leader.

  • You should not disclose information from Wix Studio employees without prior consent, unless expressly permitted.

  • You are not an employee, and should not position yourself as one.

Behavior that is not acceptable as a Community Leader

  • We uphold a zero tolerance policy towards offensive conduct which includes: harassment, bullying, unlawful, harmful, tortious, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable behavior.

  • Engaging in any activity that violates the patent, trademark, trade secret, copyright, or other proprietary rights of any party is strictly prohibited.

  • Gathering or retaining personally identifiable data about other community members is not permitted, unless you have obtained explicit consent from the individual, and such data pertains directly to the objectives of the events and the activities.

 

If at any time we deem your behavior to be inappropriate or unlawful, we may investigate and cancel your status as Community Leader and cancel an activity or event that you are planning. The list is non-exhaustive and subject to updates at our discretion.

 

The offboarding guidelines if you are no longer a Community Leader 

  • You can no longer use the Community Leader title.

  • You will be removed from the Community Leader channels.

  • You will continue to be bound to keep information previously shared with you private and confidential.

  • You must “close” Leadership on social media, such as removing the title from bios.

  • If you do wish to be reinstated as a Community leader, you must reapply. 

According to the reason for dismissal, we reserve the right to reject all future applications to become a Community Leader.

 

If you feel, at any point, that you or another Community Leader has breached the above terms and conditions, please reach out to your assigned Community Manager. This does not necessarily mean dismissal from the role but promotes an open and healthy channel of communication. Each incident will be treated individually and reviewed accordingly.

NOTE THAT WHILE WE APPRECIATE OUR COMMUNITY LEADERS, WE ARE NOT, IN ANY WAY, ALLOW THEM TO MAKE ANY REPRESENTATION OF ASSOCIATION, ENDORSEMENT, OR EMPLOYER-EMPLOYEE RELATIONSHIP WITH WIX. AS A COMMUNITY LEADER, YOU WILL BE ACTING AS AN INDIVIDUAL, AND NOT, IN ANY WAY AN EMPLOYEE, SUBCONTRACTOR, OR SPECIAL CONSULTANT OF WIX, AND YOU WILL NOT ACT ON BEHALF OF WIX.

6.  Representations & warranties as conditions of applications:

Each applicant by registering and uploading an Application represents and warrants that: 

  • You have the legal capacity to enter this Program; he Application and all of the content material contained in it are original and have been legally created by the entrant and by no other persons; 

  • You own all rights and title to the Application; 

  • The Application does not infringe the intellectual property, privacy, publicity rights or any other legal or moral rights of any third party; 

  • The Application has not been published or distributed previously in any media; and 

  • The Application does not make any false or misleading claims about Sponsor or any of its competitors or any of their respective products. 

 

Each Applicant further represents and agrees to indemnify and hold Sponsor & Others harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of them due to or arising out of the respective Application, or the applicant’s conduct in creating a application, or any advertising subsequently produced, presented, and/or prepared by or on behalf of Sponsor or other actions in connection with this Program, including but not limited to claims for trademark infringement, copyright infringement; violation of an individual's right of publicity or right of privacy; false advertising or defamation. 

Although all applications may be reviewed by Sponsor before being judged, posted or published, the posting or publication of an Applicant does not mean the application has been deemed to be in compliance with these Official Terms. Applications that do not comply with these Official Terms or that otherwise contain prohibited or inappropriate content as determined by Sponsor in its sole discretion will be disqualified.

7.  Verification/submission of requested documents: 

Upon request of Sponsor, a potential community leader Applicant shall be required to complete, sign and return to Sponsor within five (5) business days of the date notice was sent an Affidavit of Compliance/Eligibility, a Liability/Publicity Release, where lawful, a Grant/Assignment of Rights, and all other documents as may be deemed by Sponsor, reasonably necessary to establish its intellectual property and other rights in the Application. Failure to promptly return such documents may result in you not being chosen as a community leader. Sponsor's failure to request a Grant/Assignment as stated, shall not be deemed a waiver of Sponsor's rights and Sponsor may at a later time request the Grant/Assignment.

8. Limitations of liability/release/internet: 

No liability or responsibility is assumed by Sponsor & Others resulting from any user's participation in or attempt to participate in the Program or ability or inability to upload or download any information in connection with participating in the Program. No responsibility or liability is assumed by the Sponsor or Sponsor & Others for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Program.

 Sponsor & Others are not responsible for any typographical errors in these Official Terms or the announcement of Community Leaders or any inaccurate or incorrect data contained in any Program related Website. The use of any robotic, automatic, macro, programmed, third party or like methods in this Program are prohibited and the use or attempted use of such will void any attempted participation effected by such methods, may result in the cancellation, termination, or modification of the Program and the disqualification of the individual utilizing the same. 

 

By participating in the Program, community leaders agree that Sponsor & Others shall not be liable for any loss, injury or damages of any kind resulting from participation in the Program.

9.  Privacy Policy:

You and Wix acknowledge and agree that each Party will act as a separate and independent Controller (as this terms is defined in Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (“GDPR”).

 

Each Party shall be in compliance with all applicable data privacy, data protection, privacy and data security laws and regulations (e.g Directive 95/46/EC of the European Parliament of 24 October 1995 (including its amendments and supplements), the GDPR, and the California Consumer Privacy Act of 2018 (CCPA)), and will maintain and comply with any other generally recognized industry standard guidelines for the processing of any personal information.

 

In case Wix shall transfer or otherwise make accessible Personal Information (as this term is defined in the GDPR) to the Program’s participants, the participant shall refrain from using such Personal Information for any purpose other than as instructed by Wix or in these Terms. 

Any Personal Information collected during the participation in this Program by Wix shall be treated in accordance with Wix’s Privacy Policy

10.  General:

By entering this Program, participants agree to abide by and accept these Official Terms. Applicants waive any right to claim ambiguity in these Official Terms. All federal, state and local laws and regulations apply. In the event of a dispute as to the identity of an Applicant based on an email address, the Applicant entry will be declared made by the authorized account holder of the email address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. The interpretation of these Official Rules shall be governed by the laws of New-York. Any and all disputes will be resolved individually, without resort to class action, in the appropriate courts of New-York exclusively, and subject to the laws of New-York. Should there be a conflict between the laws of New-York and any other laws, the conflict will be resolved in favor of the laws of New-York. All federal, state, and local laws apply. Void in where prohibited by law.
